Delithius Labs Terms of Use

These terms cover your use of delithiuslabs.org (the "Site"), run by Delithius Labs LLC, a North Carolina limited liability company based in Goldsboro ("we," "us"). By using the Site, creating an account, or sending us a case, you agree to these terms.

1. What the Site is for

The Site tells you about our services (forensic software diagnostics, Forensic Audits, and Nexus 9 voice-authentication licensing) and lets you:

• create an account and see your cases,
• send us a free intake with a description of your system and files, and
• ask us questions.

Our other product, Deliphi (deliphi.legal), has its own terms.

2. Free intake is not an engagement

Sending an intake is free and does not create a paid engagement or a duty for us to do work. A paid engagement starts solely when both sides sign an engagement letter. The engagement letter, and any NDA we sign with you, control the work, fees, deliverables, and confidentiality. If they conflict with these terms, the engagement letter and NDA win.

3. Fees and payment

• Forensic Audit fees are quoted as a flat fee in the engagement letter. The Site shows the current range ($50,000 to $250,000) and the usual timeline (4 to 14 days). Your actual fee and timeline are set in your engagement letter.
• Work begins after we receive the 50% deposit by wire, with your case ID in the wire reference. The rest is due as stated in the engagement letter.
• If an engagement ends early, refunds of the deposit follow your engagement letter. If the letter says nothing, we will refund any part of the deposit for work not yet done.

4. Your account

• Give accurate information and keep your password (10 characters or more) safe.
• You are responsible for activity under your account. Tell us at admin@delithiuslabs.org if you think someone else has used it.

5. What you send us

• You confirm you have the right to send us the files and information you upload, and that sharing them does not break any agreement or law.
• You keep ownership of your files. You give us permission to store and examine them solely to review your intake, do the engagement, and talk with you about it.
• Please do not send malware outside an agreed engagement, or anything illegal to possess. If your case involves malicious code, tell us in the intake so we can handle it safely.
• Uploads hold up to 500 MB per file and 2 GB per case.

6. Confidentiality

We treat what you send as confidential and use it solely for your case. Every paid engagement comes with an NDA. Intakes that stay at the intake stage are treated as confidential too, and we do not share them.

7. Acceptable use

Please do not misuse the Site: no attacks, scanning, or overloading; no attempts to reach other people's accounts or cases; no spam or false information.

8. Our content

The Site's text, design, logos, and the Nexus 9 name and technology belong to Delithius Labs. You may not copy or reuse them without permission. Nexus 9 licenses are offered solely under a separate signed license agreement.

9. Answers on the Site

Answers from our "Ask us anything" chat and general information on the Site are general guidance. They are not a forensic finding, a report, or legal advice. A delivered engagement report alone reflects our findings.

10. Disclaimers and liability cap

The Site is provided "as is." To the fullest extent the law allows, we disclaim all warranties about the Site, and we are not liable for indirect or consequential damages from using it. For paid work, the caps in your engagement letter apply. Otherwise, our total liability for using the Site is capped at the fees you paid us in the 12 months before the claim.

11. Governing law

These terms are governed by North Carolina law. Disputes go exclusively to the state courts of Wayne County, North Carolina. There is no arbitration requirement.

12. Changes

We may update these terms. We will post the new version here with a new date. If a change is important, we will also email account holders.
